Part 3. Terms of the Plan
1. What the Plan Is
1.1 Unlimited Training is an optional yearly plan for a Company Account. It lets you choose which courses each named worker on your plan does. Each named worker can do the courses you assign to them while your plan year is paid. You never need a plan to buy Course Seats, course packs or a single course; they stay on sale on our Terms of Sale.
1.2 Included courses. You can assign any course we publish on the WorkProof website during each paid plan year, including courses we add after your plan starts, at no extra charge. A new course is not assigned to anyone until you assign it.
1.3 Changes to courses. We may update a course at any time, for example to keep it in line with the law. We may withdraw a course only by emailing you at least 60 days before the day we withdraw it, giving that day. Until that day the course stays on the website and can still be assigned and completed while your plan is paid. We will not reduce the number of courses on the website during a plan year below the number there on the day that plan year started.
1.4 Seats you already hold. Course Seats and packs you bought before taking a plan stay valid on the Terms of Sale under which you bought them. No credit for them is given against the Plan Fee.
1.5 This Order Form and our Terms of Sale (version 3.3 or later) govern the plan. This Order Form applies where it differs from the Terms only on the points in clause 12.3 of the Terms (your tier, Plan Fee, discount and dates and, for a quoted plan, how it is accepted, paid and renewed). It cannot reduce a worker's rights under clauses 4.2, 9.3 and 12.11 of the Terms, or any right under the Australian Consumer Law.
2. How the Plan Is Bought
2.1 Online (up to 100 workers). You fill in Part 1 at checkout, choose your tier, accept this form and our Terms of Sale, and pay the first Plan Fee plus GST by card. The contract for the plan forms when your payment succeeds and we send you a confirmation email, and your plan starts at once. We email your tax invoice when the payment succeeds; there is no invoice to pay later. The card you pay with is saved for your plan's automatic renewal (clause 4), with your agreement by the tick next to the pay button. You can turn automatic renewal off in your Company Account at any time, including straight after checkout.
2.2 By quote. A plan for more than 100 workers is sold only by quote, and any company may ask us for a quote, through the contact form on our website or by email. A quote for 100 workers or fewer is for one of the tiers in Part 2. You accept this form in the way Part 4 states. We then send our tax invoice, and you pay it by the due date in Part 1. Your plan starts on the day we receive the first Plan Fee. If the first Plan Fee is not received by the due date, we may cancel the order by email, and no plan starts. A 25% discount shown in Part 1 applies only if, when we receive your first Plan Fee, fewer than 100 companies have paid; if the last place goes before then, we tell you before you pay, and you may pay the standard Plan Fee or cancel.
2.3 Your place among the first 100. A company is counted among the first 100 at the moment its first Plan Fee is paid. We never tell a company its position, and no position is printed on any document. If the last of the 100 is taken before your payment goes through, checkout tells you before any payment is taken and shows the standard Plan Fee, which you may choose to pay.
2.4 Quoted tier. For more than 100 workers the Plan Fee is the amount in our written quote, shown in Part 1.
3. Named Workers
3.1 Your tier sets the most workers you can have on your plan at any one time (Part 2). You name a worker by entering the worker's name and email address in your Company Account, or by giving them to us. You confirm that each person you name has agreed to be named and that you have told them where to read our Privacy Policy and Collection Notice. If a worker does not accept our invitation within 14 days, the invitation lapses and the place is free again.
3.2 We email each person an invitation. The worker uses their own WorkProof account, created with their own email address; it belongs to the worker. Before the worker starts their first course under the plan, we show them a short notice about how the plan works for them and ask them to confirm they have read it.
3.3 Each named place on your plan is used for one worker for the whole plan year, except in the 30 days starting on each renewal date (clause 8.3). If you need to name more workers than your tier allows, you can ask us to move your plan to a bigger tier (clause 7).
3.4 Assigning courses. You choose which courses each named worker does by assigning them in your Company Account. You can assign any included course, as many as you like, and add or remove a course at any time while your plan year is paid. Your Plan Fee depends only on your tier, not on how many courses you assign. A worker can open only the courses you assign to them. You are responsible for choosing the right courses for each worker; we do not advise on that choice. Your assignments carry into your next plan year when you renew, until you remove them.
3.5 Removing a course. If you remove a course from a worker, their access to it under the plan ends at once. Their progress stays in their own account and continues if you assign the course to them again while your plan is paid. While the course is not assigned to them, they cannot continue it under the plan, but they may buy it on our Terms of Sale and continue from where they stopped. Certificates already issued are not affected. Removing a course does not free a named place.
4. Plan Year and Automatic Renewal
4.1 Your first plan year starts on the day we receive your first Plan Fee and lasts 12 months. Each later plan year starts on the day after the one before ends. A plan year that includes 29 February has 366 days. Every day in this form is a calendar day in Sydney, and ends at midnight Sydney time.
4.2 Automatic renewal (a plan bought online). Your plan renews automatically for the next plan year, and you do not need to accept the renewal. Here is what happens, counting the days of a 365 day plan year (each day from day 335 is one day later in a plan year that includes 29 February): (a) Day 335 (30 days before the end): we email you a renewal notice, also shown in your Company Account, with the Plan Fee for the next year, the GST and the total, the day we will charge your card, the card by its last four digits, whether automatic renewal is on and how to turn it off, any change to the standard Plan Fee or our Terms, and that there is no grace period. If your card is missing or expires before the charge, the notice says so and how to update it. (b) Day 358 (7 days before the end): we charge your saved card the renewal Plan Fee plus GST, unless automatic renewal is off, and email you the tax invoice, or a notice that your plan has not renewed and why. (c) Days 362 and 365: if the renewal is not paid, we remind you; if the charge failed, we also try your card again on each of those days and email you each time. (d) From day 358 to the end of day 365: if the renewal has not been paid, as soon as you enter a valid card or turn automatic renewal back on, we charge your card at once and your plan renews. Before day 358, turning automatic renewal back on leaves the normal charge on day 358. (e) Day 366: if the renewal has not been paid by the end of day 365, your plan ended at that moment and is cancelled. There is no grace period. To continue, you buy a plan again at the standard Plan Fee (or, for more than 100 workers, at a new quote). Your Company Account stays.
4.3 Turning renewal off, and refunds of a renewal charge. Your account administrator can turn automatic renewal off, and on again, at any time in your Company Account, and change the saved card there. No notice to us is needed. While it is off we do not charge your card, and your plan ends at the end of its last day. If you turn it off after we have charged the renewal, on any day up to and including the last day of the plan year, we refund that renewal charge in full and the plan ends at the end of the plan year. Once the next plan year has started, the renewal Plan Fee is not refunded under this clause; your rights under the Australian Consumer Law are not affected.
4.4 Your renewal price. Your renewal Plan Fee is the standard Plan Fee for your tier current at renewal, less your fixed discount if you keep one (clause 6). Standard Plan Fees may change only from the start of a new plan year, and only if the renewal notice, sent at least 30 days before your plan year ends, states the new amount. We never raise a Plan Fee during a plan year you have paid for.
4.5 A quoted plan renews this way, unless Part 1 says otherwise. At least 30 days before its plan year ends, we send you a renewal notice and our tax invoice for the next plan year, with the Plan Fee, the GST and the total, the due date, any change to the Plan Fee or our Terms, and that there is no grace period. Your plan renews when that invoice is paid by the last day of the plan year. If it is not paid by then, your plan ends at the end of that day.
4.6 If we choose not to renew. We may choose not to renew a plan, for example because we stop offering Unlimited Training plans. We then tell you by email at least 30 days before your plan year ends, your plan continues to the end of the year you have paid for, and we refund in full anything you have paid for time after it ends. You keep your fixed discount if you take a plan again.
4.7 If we are late. If, for a reason on our side, we do not take a step in this clause 4 when it says (sending a renewal notice, the notice on day 358 or a reminder; or, while automatic renewal is on and a valid card is saved, charging your card, trying it again under clause 4.2(c), or charging it at once under clause 4.2(d)), your plan does not end and you do not lose your fixed discount because of our delay. We extend your plan year by the days needed to give you the full time this clause would have given you after the missed step, we then take that step, and we tell you the new dates; your workers keep their access, and nothing is charged for the extra days.
5. GST
5.1 Plan Fees exclude GST. We add GST at the rate that applies under Australian law, currently 10 percent.
5.2 If the GST rate changes, only the GST amount changes. The Plan Fee excluding GST stays the same.
6. 25% Off for the First 100 Companies
6.1 The offer. 25% off for the first 100 companies. Keep it every year you renew on the same tier or a bigger one. If you move to a smaller tier, or your plan lapses, the 25% ends. The first 100 companies to pay a first Plan Fee for a Micro, Crew, Site, Company or Enterprise plan get the discount (clause 2.3). From the 101st company, the standard price applies.
6.2 A fixed amount. Your discount is 25 percent of the standard Plan Fee of the tier you first chose, fixed as a dollar amount: Micro $172.50, Crew $322.50, Site $622.50, Company $997.50, Enterprise $1,497.50.
6.3 When you keep it. You keep your fixed discount every plan year that you renew on the same tier or move to a bigger tier. After a move up, you pay the new tier's standard Plan Fee less your same fixed amount. Example: a company that started on Micro and moves to Crew pays $1,290 less $172.50, that is $1,117.50, at renewal. If an Enterprise company grows past 100 workers and moves to a quoted plan, its fixed $1,497.50 comes off the quoted Plan Fee.
6.4 When you lose it. You lose your fixed discount, for good: (a) from the renewal date on which a smaller tier you chose starts; (b) if your plan ends at the end of a plan year without being renewed, including because automatic renewal was off, the renewal charge failed, or the renewal charge was refunded under clause 4.3; or (c) if your plan is ended under clause 4.4 of our Terms of Sale (a serious or repeated breach). You do not lose it if your plan ends because of an event outside our control, because we chose not to renew it (clause 4.6), or because we were late (clause 4.7); if you take a plan again after one of those, you keep it. If you take a plan again after losing it, it is a new purchase at the standard Plan Fee.
6.5 Not for quoted plans from the start. A company whose first plan is a quoted plan for more than 100 workers does not get the discount.
6.6 If your first Plan Fee is refunded under the 30 day money back guarantee (clause 9), you are not counted among the first 100, and the next company to pay a first Plan Fee takes that place. A place is never passed to another company when a discount is lost under clause 6.4.
6.7 On your invoice. Each tax invoice shows your tier at its standard Plan Fee, your fixed discount as a separate line, and GST on the amount after the discount. No position number is shown.
6.8 The discount applies to the Plan Fee only. It does not apply to a payment to move up under clause 7.2, to Course Seats, packs or single courses, and it does not combine with any other discount or coupon.
7. Changing Tier
7.1 Moving up during a plan year. If you need to name more workers than your tier allows, you may move to a bigger tier at any time. Ask us through the contact form on our website or by email.
7.2 What you pay to move up. You pay the difference between the standard Plan Fees of your new and old tiers, multiplied by the number of days left in your plan year (counting the day we receive the payment) and divided by the number of days in that plan year (365 or 366). We round down to the cent. Example: Micro to Crew, a $600 difference, with 30 days left in a 365 day year, is $49.31; with 183 days left, $300.82. GST is added. We tell you the amount and send you a tax invoice for it.
7.3 When it starts. The bigger tier starts when we receive that payment. Your plan year does not restart and your renewal date does not change. If the payment is not made, the bigger tier does not start and nothing else changes.
7.4 Moving down. You may choose a smaller tier at any time during a plan year, by asking us through the contact form on our website or by email. The smaller tier starts on your next renewal date, at that tier's standard Plan Fee; until then your plan stays on its current tier, and no part of a Plan Fee is refunded (except as clause 12.5(e) of the Terms says for a choice made after the renewal charge). Any fixed discount ends on that renewal date (clause 6.4(a)). If you have more named workers than the smaller tier allows, you choose, before the renewal date, which of them stay.
8. Removing a Worker, and Workers Who Leave
8.1 Your decision. Only you decide that a named worker comes off your plan: because the worker has left your organisation or, in the 30 days in clause 8.3, for any reason. You do it yourself, by ticking the box in your Company Account and then confirming. We do not accept this by email or in any other way. We do not check it. By confirming you confirm that you are authorised to do so and, for a worker who has left, that the worker has left.
8.2 What happens at once. That worker's access to the plan ends when you confirm. The worker's own WorkProof account is not closed: it belongs to the worker, and the worker keeps every certificate already earned in it.
8.3 Places after each renewal. Once a renewal is paid, for 30 days starting on the renewal date you may take any named worker off your plan, and the place is free at once: you may name another worker in it straight away, or leave it free and name someone later in that plan year. At any other time, a place freed under clause 8.1 stays empty until your next renewal date. A new worker starts from the beginning each course you assign to them. If you need a worker sooner, you can ask us to move your plan to a bigger tier (clause 7).
8.4 Unfinished courses. A course the worker started but did not finish stays, with its progress, in the worker's own account. The worker may finish it by buying that course on the Terms of Sale.
8.5 No undo. Once you confirm, it cannot be undone in that plan year, even if you ticked the box by mistake.
8.6 Records. Your training register keeps the record of plan training the worker completed before you confirmed. From that moment you will not see anything the worker does later in their own account. If the worker later deletes their own account, the record of plan courses they completed stays in your register for the period in clause 10.2.
9. 30 Day Money Back Guarantee
9.1 If the plan is not right for your team, email contact@workproof.com.au, or send a message through the contact form on our website, within 30 days after the day we receive your first Plan Fee, and we refund in full everything you have paid for the plan in that time, including any payment to move up. This applies even if your workers have started or finished courses. It applies to your first plan year only, and once for each company: not to a renewal, and not again to a company that leaves and returns.
9.2 If we refund under clause 9.1: (a) the plan ends on the day we confirm the refund, and every worker's access under the plan ends; (b) no certificate is withdrawn or cancelled: each worker keeps, in their own account, every certificate they completed under the plan; (c) from that day you no longer have access, in your Company Account, to your training register, to your workers' names or to their certificates, and we do not send you a copy; (d) every course assigned to a worker under the plan that the worker has not completed, started or not, is blocked; the worker may buy it on our Terms of Sale and, for a course they started, continue from where they stopped; and (e) if you were counted among the first 100, your place goes to the next company to pay a first Plan Fee (clause 6.6).
9.3 Clause 9.2(c) applies only to a refund under clause 9.1. It does not apply to a refund or other remedy you are entitled to under the Australian Consumer Law, to a refund of a renewal charge under clause 4.3, to a refund when we choose not to renew under clause 4.6, or to a refund under clause 12.2.
9.4 This guarantee is in addition to your rights under the Australian Consumer Law, and does not limit them (clause 12).
10. Certificates and Records
10.1 When the plan ends. When your plan ends for any reason, your workers can no longer use the plan to open courses. Every certificate already issued stays valid, stays in the worker's own account, and stays verifiable on our verify page for the period in our Privacy Policy and Collection Notice.
10.2 Your register after the plan ends. For 12 months from the day your plan ends, we email you a copy of your training register whenever your account administrator asks us, through the contact form on our website or by email. Your plan ends: if it is not renewed, at the end of its last day (clause 4.2(e)); if it is refunded, on the day we confirm the refund; otherwise, on the day it is ended. After those 12 months, you may ask us for a copy while we still hold the records. None of this applies after a refund under clause 9.1 (clause 9.2(c)).
10.3 Please keep your own copy of your training register before your plan ends.
10.4 A certificate records that a named person completed a course on a date. Nothing done under the plan changes the completion date on a certificate. Certificates do not expire. The only way a certificate is withdrawn is for the worker's own breach of our assessment rules, under clause 4.2(b) of the Terms of Sale.
10.5 On our verify page, "Current" means only that a certificate has not been withdrawn. It does not depend on a plan, and the page never shows a certificate as expired.
11. Late Payment During a Plan Year
11.1 If a payment to move up under clause 7.2 is not paid, the bigger tier does not start; nothing else changes.
11.2 Renewal payments are covered by clause 4.
12. Your Rights Under the Australian Consumer Law
12.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this Order Form excludes, restricts or changes any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded, restricted or changed.
12.2 If an event outside our control stops us providing the plan for more than 30 days in a row, either of us may end the plan by notice and we refund the Plan Fee for the days we did not provide it.
13. Privacy
13.1 We handle your workers' and account administrators' personal information under our Privacy Policy and Collection Notice at workproof.com.au/legal/privacy.
13.2 Your account administrators see the courses you have assigned to each named worker, and each named worker's completion status, completion dates and scores for plan courses, not their individual assessment answers.
14. General
14.1 We send notices, renewal notices and tax invoices to the email address given at checkout or in your Company Account. Please keep it current.
14.2 This Order Form is governed by the laws of New South Wales, as the Terms of Sale are (clause 7.3).
14.3 Complaints are handled under clause 7 of the Terms of Sale.
